1. Acceptance of Terms

Welcome to Spayzi! These Terms of Service ("Terms") govern your use of the Spayzi platform, website, and services (collectively, the "Service") operated by Spayzi Private Limited ("Spayzi," "we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Service.

Your continued use of the Service constitutes acceptance of these Terms, as updated from time to time.

2. Description of Service

Spayzi is an online marketplace that connects property owners and managers ("Hosts") with individuals and businesses ("Guests") seeking to rent unique spaces for events, stays, creative productions, and other purposes.

Spayzi facilitates bookings, communication, and payments between Hosts and Guests but does not own, operate, or manage any properties listed on the platform. All rental agreements are entered directly between Hosts and Guests.

3. User Accounts and Registration

To use certain features of our Service, you must create a Spayzi account. By creating an account, you agree to:

  • Provide accurate and complete information.
  • Keep your account details updated.
  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activities under your account.
  • Notify us immediately of unauthorized access or security breaches.

You must be at least 18 years old to register and use Spayzi. By creating an account, you confirm that you meet this requirement.

4. User Conduct and Responsibilities

4.1 Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Submit false, misleading, or fraudulent information.
  • Post illegal, harmful, offensive, or defamatory content.
  • Infringe intellectual property rights of others.
  • Disrupt or interfere with the Service or attempt to gain unauthorized access.

4.2 Host & Guest Responsibilities

  • Hosts must ensure they have all required rights, approvals, and legal clearances to list and rent their property.
  • Guests must use booked spaces responsibly, comply with property rules, and avoid unlawful or disruptive activities.
  • Both parties are responsible for complying with applicable local, state, and central laws in India (including municipal regulations, safety codes, and licensing requirements).

5. Bookings and Payments

When you make a booking on Spayzi, you enter into a direct agreement with the Host.

Spayzi acts as an intermediary for booking facilitation and secure payment collection.

Fees, charges, and applicable GST (if any) will be clearly disclosed before you confirm a booking.

Cancellation and refund policies vary by property and are determined by Hosts. Guests must review the specific cancellation policy before booking.

Spayzi may deduct platform service fees and commissions from payments.

6. Privacy Policy

Your use of Spayzi is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our Service, you consent to our data practices in accordance with the Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted under Indian law:

  • Spayzi shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, goodwill, or data.
  • Spayzi's total liability for any claim relating to the Service shall not exceed the total fees paid by you to Spayzi in the 12 months preceding the claim.
  • Spayzi is not responsible for disputes, damages, accidents, or losses that occur at any property listed on our platform. The responsibility lies solely between Host and Guest.

8. Indemnification

You agree to indemnify and hold harmless Spayzi, its directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of rights of any third party.

9. Modifications to Terms

We may update or modify these Terms at any time. If changes are significant, we will provide notice (via email or on the website) at least 30 days before the new terms take effect.

Your continued use of the Service after modifications indicates your acceptance of the updated Terms.

10. Governing Law & Jurisdiction

These Terms are governed by and construed under the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.
